The Terms of Use describe hereof are applicable to your access and use of silashop.com.com (“The Platform”), including mobile-optimized sites, mobile applications.

1.Application and Acceptance of the Terms

1.1 Your access to and use of the Platform and its products and/or services is subject to the terms and conditions contained herein as well as our Privacy Policy. This document and such other rules and policies of the Platform will be collectively referred to as “Terms”. By accessing and using the Platform, you agree to accept the Terms. Please do not access or use the Platform if you do not accept all of the Terms.

1.2 You may not access or use the Platform and may not accept the Terms if (a) you are not of legal age, or (b) You are not permitted to receive any our services as per the laws of your country and/or jurisdiction

1.3 silashop.com.com may amend any Terms at any time by posting the relevant amended and restated Terms on the Sites. By continuing to access our Platform, you agree and testify that you agree on the amended Terms.

1.4 You may be required to enter into separate agreement(s), whether online or offline, with silashop.com.com or our local affiliates and or service providers. If there is any conflict or inconsistency between the Terms and the separate Agreements, the separate Agreement shall take precedence over the Terms only in relation to that Service concerned.

Provision of Services

2.1 If you are a registered member of the Platform, you are contracting with silashop.com Ltd.

2.2 You must register as a member, and pass silashop.com.com due diligence process in order to access and use the Platform. silashop.com.com may, without prior notice, to restrict access to or use of the Platform any user, we may impose in our absolute discretion.

2.3 Products and Services may vary across different regions and countries.

2.4 silashop.com.com may launch, change, upgrade, impose conditions to, suspend, or permanently stop any of its products, services and/or features without prior notice

2.5 Promotion Services provided by silashop.com.com pursuant to the Terms include:

Top Ranking and Sponsored Listing;
Products and services that benefit the business of the user using the Information collected about the user as explained under the Privacy Policy
Any other services as may be announced by silashop.com.com upon its discretion.

silashop.com.com retains its right, at its sole discretion, to determine whether the Promotion Services or any part thereof will be available to you.

Users Generally

You agree that:

3.1 Conditional on your access to the Platform, you agree that you will comply with all applicable laws and regulations.

3.2 You will not copy, reproduce, download, re-publish, sell, distribute or resell any products or services or any information, text, images, graphics, video clips, sound, directories, files, databases or listings, available on the Platform (“Content”).

3.3 You will not copy, reproduce, download, compile or otherwise use any Content for the purposes of operating a business that competes with silashop.com.com, or otherwise exploit commercially exploiting the Content.

3.4 You will not retrieve any of the Content from to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) without written permission from silashop.com.com.

3.5 You will not use of any content or materials on the Platform for any purpose not expressly permitted in the Terms herein.

3.6 You must read the following documents which govern the protection and use of personal information about Users in the possession of silashop.com.com:

3.7 silashop.com.com may allow Users to be redirected to content, products or services offered by third parties through hyperlinks, banners, promotional content, or otherwise. You are cautioned to read such third-party websites terms and conditions and/or privacy policies and acknowledge that silashop.com.com has no control and or monitor such third parties' web sites, does not monitor such web sites

Member Accounts

4.1 User must be registered on the Sites to access or use the Platform. Unless approved otherwise by silashop.com.com, each User may only register one member account on the Platform. Silashop.com.com may cancel or terminate a User’s member account if we have reasons to suspect that the User is in control of two or more member accounts.

4.2 silashop.com.com may disapprove any User’s application for registration for any reason and reserves its right to disclose the reason.

4.3 Upon registration on the Sites, Users will be assigned an account name and a password (the password will be chosen by the user during registration process).

4.4 User account name, ID number and password is unique. Each Member shall be solely responsible for maintaining the confidentiality and their account. Users agree to notify silashop.com.com immediately should they you suspect of an unauthorized use of your password or your account.

4.5 User agrees that all uses and actions on the Platform by the User account will be deemed to have been authorized by the User of which the user name belong to.

4.5 As a result of sharing account information, users acknowledge that allowing multiple users to use your account ("Multiple Use"), may cause permanent harm to silashop.com.com or other Users of the Platform. Member shall indemnify silashop.com.com, and any other stakeholder against any loss or damages because of the Multiple Use.

4.6 Users acknowledge that in case of the multiple use and/or User’s failure to maintain the security of their account, silashop.com.com shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or cancel or terminate User’s account without prior notice.

User’s Responsibilities

5.1 By becoming a registered User, you agree that

(a) you have the full authority to accept the Terms and to perform the obligations hereunder

(b) your access and use of the platform will be for business purposes only

5.2 Users will be required to provide information about themselves, their entity and products/services of interest as part of the registration process on Platform. Each User agrees that

(a) such information is true, accurate, current and complete, and

(b) you will maintain and promptly notify silashop.com.com to keep information updated, true, accurate, current and complete.
(c) you consent and authorize silashop.com.com to use the information provided with other Users or otherwise in accordance with the Privacy Policy.

5.3 By becoming a User, you warrant and agree that

(a) you are solely responsible for obtaining all necessary third-party approvals and/or permissions for the content that you display;

(b) your Content does not infringe or violate any of the copyright, patent, trademark, trade name, or any other personal or proprietary rights of any third party

(c) you have the right to sell, trade, distribute products or services displayed by your Content without violating any rights for any third party.

(d) your activities on the Platform will be in compliance with applicable laws and regulations;
(e) conduct transactions in good faith;
(f) deal in accordance with the Terms and other Additional Agreements;
(g) not use the Platform to defraud any person or entity

(h) not to misrepresent yourself or your products;
(i) not engage in phishing;
(j) not engage in any unlawful activities

(k) not engage in activities that would otherwise create any liability for silashop.com.com or our Users. Silashop.com.com will have the right to ask for indemnification for itself and/or its Users in case of violating the Terms.

5.4 Each User further represents, warrants and agrees that their Content is:

a) true, accurate, and complete;
b) does not contain information that is false, threatening, offensive, sexually explicit;
c) not contain or promote discrimination;
d) not violate any applicable laws and regulations

5.5 Users acknowledges and agrees that the Platform is dedicated for business use and not for personal use.

Breaches by Users

6.1 silashop.com.com reserves its the right in its sole discretion to remove, modify or reject any User Content (in whole or in part) we solely decide that it

(a) violates any laws and/or regulations

(b) violates the Terms and/or Privacy Policy and/or any Additional Agreement

(d) violates any Third Party Rights

(e) is found inappropriate according to silashop.com.com sole discretion

6.2 If any User breaches any Terms, or if silashop.com.com has reasonable reason to believe so, silashop.com.com shall have the right to take any disciplinary actions as it deems appropriate, including but not limited to

(a) suspending and/or terminating the User’s account ;

(b) removing any User Content;

(c) any other disciplinary actions, or indemnification requests as silashop.com.com may deem necessary in its sole discretion.

6.3 silashop.com.com reserves the right to cooperate fully with governmental or regulatory authorities and/or third parties in investigating any action that may violate the Terms or any applicable law or third party rights.

Transactions Between Buyers and Sellers

7.1 Users acknowledge that there may be risks of dealing with people using the Platform. We encourage you to use various means, as well as common sense, to evaluate with whom you are dealing. Users acknowledge that silashop.com.com bears no responsibility in such cases.

7.2 Buyers and sellers using the Platform shall assume the risks of conducting any purchase and sale transactions and shall fully assume all risks of liability or harm of any kind arising out of or in connection with any subsequent activity relating to the transactions done on the Platform.

Indemnification

Users agree to indemnify, defend and hold, and our directors, owners, investors, shareholders, officers, employees, consultants, attorneys, agents and other representatives, harmless from and against any and all third party claims (including related judgments, awards, liabilities, damages, losses, costs and expenses) (including reasonable attorneys’ fees) and other expenses that are based on or arise directly or indirectly out of or from your breach of these Terms or any Terms of the Additional Agreement.

Limitation of Liability

We shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including, without limitation, damages for loss of business, loss of goodwill, loss of data, lost profits or other intangible losses), under any theory of law including under contract, negligence, strict liability, breach of any statutory duty, or otherwise arising out of or relating in any way to the service (even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose). You further agree that we shall have no responsibility for any damages suffered by you in connection with loss of data, errors, system down time, network or system outages, communications line failure, file corruption, or service interruptions caused by either us or our sub-contractors and service providers, all in irrespective of the theory upon which any claim may be based, even if we have been advised of the possibility of such damages.

Force Majeure

9.1 silashop.com.com shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the services or systems due to the following reasons:

(i) system shut-down for any reason;

(ii) inability to transmit data due to failures in communications terminals or telecommunications equipment;

(iii) systems failure and inability to perform its functions due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, pandemics (without excluding Covid-19 pandemic)

(iv) suspension or delay of services or systems failure due to reasons beyond the reasonable control of silashop.com.com

Miscellaneous

No waiver by silashop.com.com of any default shall be deemed a waiver of any prior or subsequent default of the same or other provisions of these Terms, nor shall any delay or omission on the part of silashop.com.com to exercise or avail itself of any right or remedy that it has or may have hereunder operate as a waiver of any right or remedy.

If any provision hereof is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other provision and such invalid provision shall be deemed to be severed from these Terms.

We may freely assign our rights and responsibilities hereunder without notice to you. These Terms are not assignable, transferable or sublicense able by you except with our prior written consent.

These Terms constitute the entire understanding between you and us, and revoke and supersede all prior agreements between us, and are intended as a final expression of our agreement. These Terms shall take precedence over any other documents that may be in conflict therewith. Any heading, caption or section title contained in these Terms is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.

We reserve the right at any time to modify these Terms. Any such modification will be effective immediately upon notice to you (or if otherwise stated in the notice), which we may provide by any means including, without limitation, posting the amended Terms on our website or by sending an electronic mail to you. Your continued use of the Service after the effective date of any such modifications will be deemed acceptance of such modified Terms.

These Terms shall be construed in accordance with and governed for all purposes by the substantive laws of Palestine without regard to its conflicts of law provisions. You agree that any claim or dispute you may have against silashop.com.com and its affiliates, directors, officers, employees and representatives must be resolved by a court located in Ramallah/ Palestine, and waive any jurisdictional, venue or inconvenient forum objections to such courts.
